1. Introduction
AG5M is a global marketplace connecting clients, professionals, and businesses through services, projects, and commercial opportunities.
This Escrow & Milestone Payment Policy explains how project milestones, payment approvals, payment releases, cancellations, and disputes are handled when these features are available through AG5M.
Our goal is to promote transparent agreements, fair payment practices, and greater confidence between clients and service providers.
This policy forms part of the applicable AG5M Terms of Service.
2. Scope of This Policy
This policy applies to eligible projects and service transactions that use AG5M's supported milestone payment features.
Not all transactions or payment methods support milestones, delayed payouts, partial releases, or payment holds.
The functionality available to a user depends on the transaction, location, payment provider, and features enabled on the Platform.
Where a particular feature is unavailable, the relevant provisions of this policy do not apply.
3. Meaning of Escrow and Payment Protection
AG5M may offer payment-protection features designed to help clients and providers manage payments associated with agreed project milestones.
Unless expressly disclosed through a legally compliant arrangement, AG5M does not operate a licensed escrow service, act as an escrow agent, or guarantee that funds are held in a legally regulated escrow account.
Payments may be processed through Stripe, Stripe Connect, or other supported payment providers.
The timing of charges, settlement, payout availability, and any permitted payment restrictions is subject to the payment provider's capabilities, applicable law, and the transaction terms displayed to the parties.
A payment marked as pending, authorized, or awaiting payout is not necessarily held in legal escrow.
AG5M does not guarantee that funds can be frozen, recovered, or returned in every circumstance.
4. Creating a Project and Milestones
Where milestone functionality is available, clients and professionals may agree to divide a project into defined stages.
Each milestone should specify:
A clear description of the work
Expected deliverables
The agreed payment amount
Relevant deadlines
Completion and acceptance criteria
Any permitted revision requirements
Other material terms agreed by the parties
Both parties should review the details before accepting a milestone arrangement.
Milestones should be realistic, measurable, and directly related to the agreed project.
5. Funding and Payment Authorization
Where supported, clients may be required to authorize or complete payment before work begins or before a milestone becomes active.
The applicable checkout or payment interface should explain the amount charged and any relevant payment conditions.
A successful payment authorization does not always mean that funds have been captured or are available for payout.
Payment processing may be delayed, declined, reversed, or restricted by the payment provider.
Users must not assume that a milestone is funded unless the relevant transaction status confirms it.
6. Milestone Work and Submission
Professionals are responsible for completing the work described in the agreed milestone.
When work is complete, the professional may submit the deliverables for client review through available AG5M features.
Submissions may include:
Documents
Photographs
Project files
Completed service details
Other relevant evidence of delivery
Professionals should not mark incomplete work as completed.
Clients should review submitted work reasonably and in good faith.
7. Milestone Review and Approval
Where supported, clients may:
Approve a completed milestone
Request reasonable revisions
Report a problem
Open a dispute through available platform features
Approval indicates that the client accepts the relevant deliverable for the purposes of the agreed milestone, subject to applicable consumer rights.
Approval may trigger a payment or payout process when supported by the payment provider and transaction configuration.
Approval does not guarantee immediate receipt of funds by the professional.
Actual payout timing depends on the payment provider, settlement status, verification requirements, and applicable restrictions.
8. Revision Requests
If submitted work does not meet the agreed milestone requirements, the client may request revisions where supported.
Revision requests should:
Identify the relevant problem
Refer to the original scope
Explain the required correction
Be submitted within any applicable agreed review period
Clients should not use revision requests to demand substantial additional work outside the original agreement without appropriate mutual consent.
Professionals should respond reasonably to legitimate revision requests.
9. Partial Payments and Milestone Splitting
Some projects may involve partial payments or multiple milestones.
Where supported by the payment system, parties may agree to:
Divide a project into separate milestones
Adjust future milestone amounts
Approve eligible partial payments
Modify project stages by mutual agreement
Changes to payment arrangements must be consistent with the payment features available for the transaction.
AG5M does not guarantee that an existing payment can be divided, partially released, or reallocated after processing.
If a requested change is unsupported, the parties may need to establish a new payment arrangement using available platform tools.
10. Payment Release and Professional Payouts
Payment release and professional payouts are subject to applicable transaction terms and payment-provider rules.
A payout may be delayed because of:
Pending payment settlement
Identity or business verification requirements
Payment-provider compliance reviews
Refunds or disputes
Account restrictions
Technical or banking processing delays
Applicable legal obligations
Professionals are responsible for providing accurate payout information.
AG5M cannot guarantee a fixed payout date unless a specific commitment is expressly made and supported by the relevant payment provider.
11. Project Cancellations
Clients and professionals may request cancellation according to the applicable transaction terms and available platform functionality.
Before Work Begins
A client may be eligible for a full or partial refund depending on whether payment has been made, whether authorized expenses have been incurred, and applicable law.
After Work Begins
Cancellation may require consideration of:
Work already completed
Deliverables already provided
Agreed project terms
Reasonable documented expenses
Applicable consumer protection rights
Provider Cancellation
If a professional cannot complete an agreed project, the client may be entitled to an appropriate refund or other remedy under the transaction terms and applicable law.
Mutual Cancellation
The parties may agree to end a project and determine an appropriate payment resolution.
Any refund or payment adjustment must be supported by the relevant payment system.
12. Milestone Disputes
If a disagreement arises, users should first attempt to resolve it through respectful communication.
Where an in-app dispute feature is available, either party may submit a dispute concerning the relevant milestone or project.
Disputes may involve:
Incomplete work
Missed deadlines
Deliverables that do not match the agreed scope
Payment disagreements
Unauthorized changes
Misrepresentation
Other material transaction issues
AG5M may review available evidence and assist in resolving the disagreement.
13. Evidence and Dispute Review
AG5M may request relevant evidence, including:
Project descriptions
Milestone agreements
Messages exchanged through the Platform
Submission timestamps
Photographs and files
Payment records
Evidence of work completed
Relevant cancellation communications
Both parties are expected to provide accurate information and cooperate in good faith.
AG5M may consider the original agreement, documented work, relevant communications, applicable payment rules, and legal obligations.
AG5M does not guarantee a particular dispute outcome.
14. Possible Dispute Outcomes
Depending on the circumstances and supported payment capabilities, dispute outcomes may include:
Full Refund: An eligible payment is refunded to the client.
Partial Refund: A portion of an eligible payment is refunded.
Payment to the Professional: An eligible payment or payout proceeds to the professional.
Mutually Agreed Resolution: The parties agree on an alternative lawful arrangement.
No Payment Adjustment: The evidence or payment status does not support an adjustment.
A particular outcome is available only where permitted by the payment provider, transaction status, and applicable law.
15. Payment Restrictions During Disputes
When a dispute is reported, AG5M may take appropriate steps to review the transaction and, where technically and legally supported, request or apply relevant payment restrictions.
However, AG5M cannot guarantee that all disputed funds will remain frozen or that previously completed payouts can be reversed.
Payment providers, card networks, and financial institutions may have independent authority over transactions and disputes.
16. Chargebacks and External Payment Disputes
Users are encouraged to contact AG5M Support when experiencing a transaction problem.
This does not prevent users from contacting their bank, card issuer, payment provider, or competent authority.
Chargebacks and payment disputes initiated through financial institutions are governed by the applicable payment-provider and card-network rules.
AG5M may submit relevant transaction evidence in response to such disputes.
17. Fraud and Abuse Prevention
AG5M prohibits:
Fake milestone submissions
Fraudulent payment claims
Misrepresentation of completed work
Manipulation of dispute evidence
Unauthorized transactions
Attempts to exploit refund or payment systems
Other unlawful or deceptive conduct
AG5M may restrict relevant features, investigate reported activity, or take other proportionate action consistent with its Terms of Service and applicable law.
18. No Guarantee of Work or Payment Outcomes
AG5M provides tools intended to facilitate agreements between independent clients and professionals.
Unless expressly stated otherwise, AG5M does not guarantee:
That every project will be completed
That every deliverable will meet a client's expectations
That every dispute will be resolved in a user's favor
That every payment will be recoverable
That funds are held in a regulated escrow account
That every professional will receive an immediate payout
Nothing in this section excludes liability or consumer rights that cannot lawfully be limited.
19. Legal and Regulatory Compliance
Payment processing and milestone features may be subject to financial services, consumer protection, tax, and other laws.
AG5M may restrict the availability of particular features in certain countries or for certain transaction types.
Users must comply with applicable laws and the requirements of supported payment providers.
20. Changes to This Policy
AG5M may update this policy to reflect changes in payment functionality, platform operations, provider requirements, or applicable law.
The latest version will be published on our official website with a revised effective date.
Material changes will be communicated where required by law.
